Acceptance of the Terms of Use

These terms of use are entered into between You and the collective ITT Inc. and its subsidiaries and affiliates (“ITT”). ITT operates multiple websites for informational purposes only, including ITT.com (“Websites,” or “ITT Sites”).

The following terms, along with any referenced documents, policies, or links (“Terms”), govern your access to and use of the Websites, including any content or functionality offered on or through the Websites.

By using or clicking through the Websites, you accept and agree to be bound by these Terms and ITT’s Privacy Policy (https://www.itt.com/privacy). If you do not want to agree to these Terms or the Privacy Policy, you must not access, use, or download anything from the Websites.

Acceptance of Changes to the Terms

ITT may update these Terms at its sole discretion. All changes apply prospectively and are effective immediately upon posting. Your continued use of the Websites after the posting of revised Terms means that you accept and agree to the changes.

You are expected to check the Terms from time to time so that you are aware of any changes.

Accessing the Website, Account Security, and Prohibited Uses

Subject to ITT’s Accessibility Statement (https://www.itt.com/our-commitment-to-accessibility), ITT may withdraw or amend its Websites at any time without notice. ITT is not liable if, for any reason, all or any part of the Websites are unavailable.

To the extent that the Websites require you to provide registration details or other information in order to access some parts of the Websites or the proffered resources, you agree that the information you provide is correct, current, and complete. Such information provided by you will be governed by our Privacy Policy (https://www.itt.com/privacy).

Your login credentials or any other piece of information provided as part of ITT’s security procedures must be treated as confidential. You agree to notify us immediately of any unauthorized access to or use of your user name or password or any other breach of security. We may disable any user name, password, or other identifier, if, in our opinion, you have violated any provision of these Terms.

You may access and use the Websites only for lawful purposes and in accordance with these Terms. You agree not to:

ITT may also suspend or terminate your right to access and use the Websites.

Intellectual Property Rights

The Websites and their contents, features, and functionalities (including all information, documents, text, displays, images, video, and audio, and together with their design, selection, and arrangement) are owned by ITT, its licensors, or other providers of such material and are protected by United States and international laws on intellectual property.

If you would like to view, download, store, transmit, or copy any proffered material on an ITT Site, you are permitted to do so, but you must adhere to the following requirements:

all copyright and proprietary notices are retained,

the materials are not publicly displayed, publicly distributed, or modified in any way, and no graphics are used separately from its accompanying text, and

any use of the materials is limited to informational and non-commercial or personal use only.

If you do not follow any of the above requirements, or if you use the Websites in a manner not expressly permitted by ITT, you are in breach of the Terms, and ITT may request you to return or destroy any copies of the materials you have made. In such cases, your right to use the Websites will stop immediately. ITT may also disclose your identity or other information about you to any third party who claims that your use of relevant materials violated their intellectual property rights.

Trademarks

The ITT name, the ITT logo, and all related names to ITT, including brand names, logos, product and service names, designs, and slogans are trademarks of ITT or its licensors. Use of such marks are not permitted without ITT’s written consent. To the extent that there are other unaffiliated names, logos, product and service names, designs, and slogans on the Websites, they are the trademarks of their respective owners.

Reliance on Information and Links From the Websites

ITT does not warrant the accuracy, completeness, or usefulness of the information or documents presented through the Websites. This encompasses any updates or changes to the contents of the Websites. Any reliance you place on such information or documents is at your own risk. ITT disclaims all liability and responsibility arising from such reliance.

While ITT may provide links to websites operated by third parties, they are provided for your convenience and do not indicate an affiliation or association with any of such parties or any linked sites. In addition, ITT makes no warranty or representation about the statements or opinions expressed in any linked sites and is also not responsible, or liable to you or anyone else, for the content or accuracy of the information or documents provided by any third parties. If you use the linked sites or rely on the contents therein, you do so at your own risk.

Information Collected From You and Provided by You

To the extent that ITT collects any information on its Websites, such information is subject to ITT’s Privacy Policy (https://www.itt.com/privacy). By using ITT Websites, you consent to all actions taken by ITT with respect to your information in compliance with the Privacy Policy.

If you send any confidential or proprietary information to ITT via any ITT Website, you agree that any information you so send will not be considered confidential or proprietary, and you grant ITT an unrestricted, irrevocable, worldwide, royalty-free license to use, reproduce, and distribute any such information.

Linking to ITT Websites

You are permitted to link to ITT Websites homepage only in a way that is fair, legal, and does not damage our reputation or take advantage of it.

You must not link to ITT Websites in a manner that suggests any form of association or endorsement from ITT. In particular, unless you have the express written permission of ITT, you must not cause ITT Websites or portions of an ITT Website to be displayed on, or appear to be displayed by, any other site. You agree to cooperate with ITT to immediately stop any unauthorized framing or linking. ITT reserves the right to withdraw linking permission without notice.

ITT may disable all or any social media features and any links at any time without notice.

Geographic Restrictions

ITT Websites and all documents therein are deemed to be provided in the state of Connecticut in the United States of America. The Websites and documents are for use by persons located in the United States. ITT makes no claims that the Websites and documents are appropriate or available for use outside of the United States. You are prohibited from accessing the Websites or documents from locations where these are illegal. If you choose to do so, you are accessing on your own initiative and are responsible for the consequences in accordance to local laws.

Disclaimer of Warranties

You understand that ITT cannot and does not guarantee or warrant that files available for downloading from the internet or the Website will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to our site for any reconstruction of any lost data. To the fullest extent provided by law, ITT will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses, or other technologically harmful material that may infect your computer equipment, computer programs, data, or other proprietary material due to your use of the websites or items obtained through the websites or to your downloading of any material posted, or on any linked website.

Neither ITT nor any person associated with ITT makes any warranty or representation with respect to the completeness, security, reliability, quality, accuracy, or availability of the websites and proffered materials.

To the fullest extent provided by law, ITT disclaims all warranties of any kind, whether express or implied, statutory, or otherwise, including but not limited to any warranties of merchantability, non-infringement, and fitness for particular purpose.

The foregoing does not affect any warranties that cannot be excluded or limited under applicable law.

Limitation on Damages

To the fullest extent provided by law, in no event shall ITT, or any related person or entity, be liable for direct, indirect, special, incidental, consequential, punitive or other damages of any kind, arising out of your use, or inability to use, the Websites, any linked sites, or any content on the Websites, whether in an action under the theories of contract, negligence, or strict liability or otherwise

The foregoing does not affect any liability that cannot be excluded or limited under applicable law.

Indemnification

You agree to defend, indemnify, and hold harmless ITT and any of its related person or entity from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Websites.

Governing Law and Jurisdiction

All matters and disputes relating to ITT Websites and Terms, including non-contractual disputes or claims, shall be governed by the laws of the State of Connecticut without regard to any principles of conflicts of law.

Any dispute arising out of these Terms or your use of the ITT Websites shall be instituted exclusively in the courts of the State of Connecticut. You agree that you will not assert jurisdiction in any other court or tribunal anywhere in the world, although ITT retains the right to bring any action against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Waiver and Severability

No waiver by ITT of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of ITT to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

Entire Agreement

These Terms and our Privacy Policy constitute the sole and entire agreement between you and ITT regarding the Websites and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Websites.
